IMPACTUM Terms of Service

Welcome to IMPACTUM. These Terms of Service ("Terms") govern your access to and use of the IMPACTUM mobile application and the website impactum.io (collectively, the "Service"), operated by IMPACTUM LLC ("IMPACTUM," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 17 years old, you may only use the Service with the awareness or consent of a parent or legal guardian, where required by applicable law. By using the Service, you represent that you meet these requirements.

2. Description of the Service

IMPACTUM provides tools to help users reflect on and manage their personal relationships, including an AI-based conversational feature ("Dr. Harmony") intended to offer general reflection prompts, communication suggestions, and relationship-awareness tools.

Dr. Harmony is not a licensed therapist, counselor, mental health professional, or medical provider. Nothing generated by Dr. Harmony or any other feature of the Service constitutes professional therapy, psychological treatment, medical advice, or legal advice. The Service is intended for general self-reflection and informational purposes only.

If you are experiencing a mental health crisis, thoughts of self-harm, or an emergency, do not rely on the Service. Contact a licensed professional, local emergency services, or a crisis hotline immediately.

You are solely responsible for any decisions you make in your personal relationships, whether or not informed by content from the Service. IMPACTUM is not responsible for the outcome of any decision, conversation, or action you take based on suggestions, prompts, or content generated by the Service.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at impactum25@impactum.io if you suspect unauthorized use of your account.

4. User Content and License

"User Content" means any text, messages, or other content you submit to the Service, including conversations with Dr. Harmony, profile information, and any other content you create within the app.

You retain ownership of your User Content. By submitting User Content, you grant IMPACTUM a non-exclusive, worldwide, royalty-free license to access, process, store, and use your User Content solely to: (a) operate and provide the Service to you, (b) generate responses within features like Dr. Harmony, (c) maintain and improve the Service, and (d) as otherwise described in our Privacy Policy.

We do not sell your User Content, and we do not use it for third-party advertising.

You agree not to submit User Content that is unlawful, harassing, abusive toward another identifiable individual, or that violates the rights of any third party.

5. Subscriptions and Billing

Certain features of the Service may require payment of a subscription fee ("Paid Tiers"). Subscriptions are billed and processed through the Apple App Store or Google Play billing systems, and are subject to their respective terms, including auto-renewal, cancellation, and refund policies.

Prices, features, and availability of Paid Tiers may change from time to time. We will provide notice of material changes where required by law or app store policy.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract the underlying models or source code of the Service
• Use the Service to harass, threaten, or harm another person
• Misrepresent your identity or impersonate another person
• Interfere with or disrupt the security or proper functioning of the Service

We reserve the right to suspend or terminate accounts that violate these Terms.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, INCLUDING ANY AI-GENERATED CONTENT, WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, OR ERROR-FREE.

AI-generated responses, including those from Dr. Harmony, may occasionally be inaccurate, incomplete, or inappropriate to your specific situation. Use your own judgment and consult a qualified professional for any matter requiring professional advice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPACTUM LLC AND ITS FOUNDERS, EMPLOYEES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING ANY DECISION MADE OR ACTION TAKEN BASED ON CONTENT FROM DR. HARMONY OR ANY OTHER FEATURE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless IMPACTUM LLC, its founders, employees, and service providers from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at our discretion, including for violation of these Terms, without prior notice where circumstances warrant.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles, unless otherwise required by the mandatory consumer protection laws of your country of residence.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation by contacting us at impactum25@impactum.io. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts located in Wyoming, unless applicable law requires otherwise.

12. Changes to the Service and These Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time; material changes will be reflected by updating the "Last Updated" date above and, where appropriate, through in-app or email notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
